For some clients, we are retained on a monthly basis typically for one or more days a week, for other clients we work on particular projects on a fixed fee basis and for others we work as needed on an hourly basis. In all of these cases our rates are a fraction of what our clients would spend either by hiring a full-time basis an experienced in-house lawyer or relying heavily on outside law firms.

Corporate Governance: advise senior management and board on fiduciary duties, strategy, day-to-day, operational and other issues; attend and draft minutes for board and committee meetings, draft and implement code of ethics, insider trading and other corporate policies;

Contract Management: draft and negotiate all company agreements including confidentiality, software, data use and other information technology, research, development, license, managed care, marketing, co-promotion, distribution, service, rebate, pharmacy benefit, speaker bureau, supply, manufacturing and other agreements and engagement letters; develop and implement approval processes and procedures; draft form template agreements.

Founder and Managing Member

Barry J. Siegel

Your General Counsel LLC is led by Barry J. Siegel, a corporate lawyer with over 25 years experience.

Siegel served as Senior Vice President, General Counsel, Chief Compliance Officer and Corporate Secretary of Pernix Therapeutics Holdings, Inc., a public specialty pharmaceutical company.  He also served as outside General Counsel of PharmaPrint Inc., a public developer and manufacturer of herbal therapeutics.  Prior to joining Pernix, Siegel was a shareholder and Co-Chair of the private equity practice group of Buchanan Ingersoll & Rooney, a 500+ lawyer law firm.  He was also an equity partner of Klehr Harrison Harvey Branzburg Ellers, a Philadelphia corporate law firm.  He graduated from New York University School of Law and is admitted to practice in Pennsylvania and New York.
